Terms of Service

01Contractual parties

Collectively referred to as the "Parties" and each may be referred to individually as a "Party".

02Subject of the Agreement

IntelRecord undertakes to provide the Client with breach intelligence and data leak monitoring services (hereinafter referred to as "IntelRecord Services" or "IRS") as described in this Agreement. The Client agrees to pay IntelRecord the corresponding fees where applicable.

IntelRecord provides access to data and intelligence across the surface, deep, and dark web to detect, track, and alert users to compromised or leaked information. The IRS may be accessed with limited functionality for free or with expanded features through a paid subscription.

This Agreement becomes binding upon: (i) acceptance of these Terms during signup, (ii) execution of a written contract, or (iii) use of the free version of IRS.

04Free users

IntelRecord offers limited, free-tier access to IRS with restrictions on features and data access. IntelRecord may terminate or modify free access at any time without notice.

Free users may not:

• Expect warranties, uptime guarantees, or service-level commitments.
• Circumvent protections to access paid features.
• Make automated or bulk data requests without explicit written consent.

Violations may be considered unauthorized access, and IntelRecord reserves the right to claim contractual penalties equal to the applicable yearly license fee per violation.

05Paid users

Paid subscriptions offer expanded access to IRS as defined in the subscription tier. Upon payment, IntelRecord grants the Client a non-transferable license to use IRS via the secure platform https://intelrecord.com.

Clients must:

• Secure login credentials.
• Prevent unauthorized use by third parties.
• Comply with applicable security and usage practices.

06Account ownership and sharing

Each IntelRecord account is issued to and may only be used by a single individual person. Accounts are personal, non-transferable, and may not be sold, leased, gifted, sublicensed, or otherwise transferred to any third party. Subscriptions and remaining credits are tied to the original account holder and cannot be detached from the account.

The Client is the sole responsible party for all activity carried out under their account, including activity by anyone they grant access to (whether deliberately or through negligence).

Where account sharing or any other violation of this section is suspected or detected, IntelRecord may, at its sole discretion and without prior notice:

• Require additional identity or device verification.
• Force-terminate active sessions and rotate credentials.
• Temporarily suspend the account pending review.
• Permanently ban the account and any related accounts.
• Forfeit any remaining subscription time, credits, or balances without refund.
• Pursue contractual penalties equal to the applicable yearly license fee per violation, in addition to any other remedies available at law.

If a Client legitimately requires access for multiple individuals (for example, a security team), they must purchase a separate account for each user or contact IntelRecord for a team/enterprise arrangement. IntelRecord does not offer refunds for accounts banned under this section.

07Fees

Clients must pay all fees in advance. Pricing includes VAT where applicable.

• EU clients may be subject to VAT reverse-charge.
• Clients are responsible for disclosing their tax status.
• Fees are non-refundable unless otherwise stated.
• Late payments (7+ days) will accrue 0.1% daily interest.
• IntelRecord reserves the right to suspend services until outstanding fees are paid.
• Fees may be adjusted with 30 days' notice.

08Warranties and limitations

• Free-tier services are provided "as-is" without warranties.
• Paid IRS subscriptions offer a 95% uptime guarantee per calendar month, excluding maintenance or third-party disruptions.
• Credits may be issued if uptime falls below thresholds.
• IntelRecord may schedule maintenance with prior notice or restrict services during force majeure events.
• IntelRecord does not track search queries or accessed data unless anonymized for performance optimization.

IntelRecord shall not be liable for:

• Accuracy, completeness, or appropriateness of data accessed.
• Decisions made based on IRS data.
• Damages, losses, or indirect consequences of using the IRS.

09Client responsibilities

• Ensure proper hardware, software, and internet environment.
• Use IRS in compliance with all applicable laws.
• Not resell or redistribute IRS data.
• Not use IntelRecord branding without written permission.

10Intellectual property

This Agreement does not grant the Client any ownership over IntelRecord IP or data. All rights are reserved by IntelRecord.

11Termination

IntelRecord may immediately terminate the Agreement if:

• The Client fails to pay fees.
• The Client violates laws, this Agreement, or fair-use policies.
• Unlawful use, abuse, or unauthorized access is detected.
• The account is shared, transferred, resold, or otherwise used by more than one individual person, in violation of the "Account Ownership and Sharing" section. Such termination may occur without notice and without refund of any unused subscription time, credits, or balances.

Clients may terminate with immediate effect if IntelRecord breaches this Agreement and fails to cure within 14 days of written notice.

12Modifications

IntelRecord may modify these Terms at any time. Material changes will be notified at least 7 days before taking effect.

13Governing law and jurisdiction

This Agreement shall be governed by applicable law as determined by IntelRecord's place of registration. Any disputes shall be settled by arbitration, conducted in English.
